Terms of Service

Subject to these Terms of Service (this "Agreement"), ZanReal ("ZanReal", "we", "us" and/or "our") provides access to ZanReal's services. By using or accessing the services, you acknowledge that you have read, understand, and agree to be bound by this Agreement.

If you are entering into this Agreement on behalf of a company, business, or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the term "you" shall refer to such entity. If you do not have such authority, or if you do not agree with this Agreement, you must not accept this Agreement and may not use the services.

1. Definitions

For the purposes of this Agreement:

"Services" means all products, services, software, websites, and applications provided by ZanReal, including but not limited to software development services, marketing services, consulting, technical support, and any associated platforms.
"User" or "you" means any individual or entity that accesses or uses the Services.
"Content" means any data, text, software, code, images, videos, or other materials uploaded, posted, or transmitted through the Services.
"Account" means your registered account with ZanReal that allows you to access and use the Services.

2. Acceptance of Terms

By accessing or using any part of the Services, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this Agreement, then you may not access or use the Services.

These Terms of Service apply to all users of the Services, including without limitation users who are browsers, customers, merchants, vendors, and contributors of content.

3. Age and Eligibility

You must be at least 16 years of age to use the Services. By using the Services, you represent and warrant that you are at least 16 years of age and have the legal capacity to enter into this Agreement.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms of Service.

4. Account Registration

4.1. Account Creation

To access certain features of the Services, you may be required to create an account. When creating an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2. Account Security

You agree to:

Keep your password secure and confidential
Notify us immediately of any unauthorized use of your account
Be responsible for all activities that occur under your account
Not share your account with others

4.3. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms of Service or engaged in conduct that we deem inappropriate or harmful.

5. Use of Services

5.1. License Grant

Subject to your compliance with these Terms of Service, ZanReal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

5.2. Acceptable Use

You agree not to use the Services to:

Violate any applicable laws or regulations
Infringe upon the intellectual property rights of others
Transmit any harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
Engage in any activity that could damage, disable, overburden, or impair the Services
Attempt to gain unauthorized access to any portion of the Services or any other systems or networks
Use automated means to access the Services without our express written permission
Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
Interfere with or disrupt the Services or servers or networks connected to the Services
Collect or store personal data about other users without their consent
Use the Services for any illegal or unauthorized purpose

5.3. Restrictions

You may not:

Modify, adapt, translate, or reverse engineer any portion of the Services
Remove any copyright, trademark, or other proprietary notices from the Services
Use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services
Rent, lease, lend, sell, redistribute, or sublicense the Services
Use any robot, spider, crawler, scraper, or other automated means to access the Services

6. Content and Intellectual Property

6.1. Your Content

You retain all ownership rights in the content you submit, post, or display through the Services ("Your Content"). By submitting Your Content to the Services, you grant ZanReal a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform Your Content in connection with providing the Services.

6.2. Responsibility for Your Content

You are solely responsible for Your Content and the consequences of posting or publishing it. You represent and warrant that:

You own or have the necessary rights to use Your Content
Your Content does not violate any applicable laws or infringe upon the rights of any third party
Your Content does not contain any viruses, malware, or other harmful components

6.3. ZanReal's Intellectual Property

The Services, including all content, features, and functionality, are owned by ZanReal and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not use any of ZanReal's trademarks, logos, or trade names without our prior written consent.

6.4. Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant ZanReal a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Services without any obligation to you.

7. Payment and Fees

7.1. Pricing

Some Services may be subject to fees. All fees are stated in the currency specified at the time of purchase and are exclusive of any applicable taxes unless otherwise stated.

7.2. Payment Terms

You agree to pay all fees associated with your use of the Services. Payment is due immediately upon purchase unless otherwise specified. We reserve the right to change our fees at any time, with reasonable notice provided to you.

7.3. Refunds

All fees are non-refundable except as required by law or as expressly stated in these Terms of Service. If you believe you have been incorrectly charged, please contact us within 30 days of the charge.

7.4. Taxes

You are responsible for all applicable taxes, and we will charge tax when required to do so. If you are exempt from payment of such taxes, you must provide us with an original certificate that satisfies applicable legal requirements attesting to tax-exempt status.

8. Third-Party Services

The Services may contain links to third-party websites or services that are not owned or controlled by ZanReal. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that ZanReal shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any such third-party content, goods, or services.

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Services, you consent to our collection and use of your information as described in our Privacy Policy.

We comply with applicable data protection laws, including the General Data Protection Regulation (GDPR) for users in the European Economic Area.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

THE SERVICES WILL MEET YOUR REQUIREMENTS
THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE
THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZANREAL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
ANY CONTENT OBTAINED FROM THE SERVICES
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL ZANREAL'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID ZANREAL IN THE LAST SIX (6) MONTHS, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZanReal and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

Your use of and access to the Services
Your violation of these Terms of Service
Your violation of any third-party right, including without limitation any copyright, property, or privacy right
Any claim that Your Content caused damage to a third party

13. Modifications to Services

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

14. Changes to Terms of Service

We may revise these Terms of Service from time to time. The most current version will always be posted on our website with the "Last Updated" date. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms of Service.

15. Termination

15.1. Termination by You

You may terminate this Agreement at any time by ceasing to use the Services and closing your account.

15.2. Termination by ZanReal

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service.

15.3. Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms of Service which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms of Service or the Services shall be subject to the exclusive jurisdiction of the courts located in Rybnik, Poland.

For users located in the European Union, nothing in this clause affects your rights as a consumer to rely on mandatory provisions of local law.

17. Dispute Resolution

17.1. Negotiation

In the event of any dispute, controversy, or claim arising out of or relating to these Terms of Service, the parties agree to first attempt to resolve the dispute through good faith negotiation.

17.2. Alternative Dispute Resolution

If the dispute cannot be resolved through negotiation within 30 days, either party may refer the dispute to mediation or arbitration in accordance with the laws of Poland.

18. General Provisions

18.1. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ZanReal regarding the use of the Services and supersede all prior agreements and understandings.

18.2. Waiver and Severability

The failure of ZanReal to enforce any right or provision of these Terms of Service will not be deemed a waiver of such right or provision. If any provision of these Terms of Service is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.3. Assignment

You may not assign or transfer these Terms of Service or your rights hereunder without our prior written consent. We may assign or transfer these Terms of Service without restriction.

18.4. No Agency

No agency, partnership, joint venture, or employment relationship is created as a result of these Terms of Service, and neither party has any authority to bind the other in any respect.

18.5. Force Majeure

ZanReal shall not be liable for any failure to perform its obligations under these Terms of Service where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

20. Language

These Terms of Service are prepared in English and Polish. In case of any discrepancy between the English and Polish versions, the English version shall prevail to the extent permitted by applicable law.
